STANDARD TERMS AND CONDITIONS OF SALE

CARAGA WORLD FOOD PRODUCTS TRADING (www.caragaworldfoods.com)

The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing by Caraga World Food Products Trading.

1. Payment Terms & Credit Policy

  • Initial Orders & Cash on Delivery (COD): Most initial orders are fulfilled on a Cash on Delivery (COD) basis.

  • Deposits for Large Orders: For larger initial orders, Caraga World Food Products Trading reserves the right to request a deposit prior to processing or shipment, with the remaining balance due strictly upon delivery.

  • Credit Accounts: For established, long-term customers who successfully pass our credit evaluation, we may grant credit terms ranging from 15 to 90 days. The specific approved payment timeframe will be explicitly indicated on the face of the sales invoice or order.

  • Late Payment Interest: In the event of non-payment by the specified due date of any credit invoice, Caraga World Food Products Trading reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. We are authorized to suspend any scheduled deliveries or provision of services without prior warning in the event of late payment.

2. Shipping & Delivery Fees

While standard shipping fees are calculated at the time of the order, the customer is responsible for and agrees to pay any additional shipping, freight, handling, or logistical fees incurred during transit or delivery.

3. Outstanding Balances & Collection

If a payment is still outstanding more than sixty (60) days after the due payment date, Caraga World Food Products Trading reserves the right to call on the services of a debt recovery agency or legal counsel. All legal expenses, collection fees, and associated costs will be payable in full by the client.

4. Taxes and Tariffs

All local taxes, including Value Added Tax (VAT) or applicable withholding taxes required under Philippine tax laws (such as BIR regulations), shall be handled in accordance with local legislation. If any international or cross-border transactions apply, any withholding at source will be paid by the client to their respective tax authorities. Under no circumstances can Caraga World Food Products Trading become involved in or bear the costs related to a client country's specific tax legislation. The amount of the invoice remains due to Caraga World Food Products Trading in its entirety.

5. Product Quality, Warranties, and Liability

Caraga World Food Products Trading undertakes to do its best to supply high-quality food products and distribution services in due time in accordance with agreed timeframes. However, because food preservation depends heavily on third-party transport, storage, and handling conditions post-delivery, Caraga World Food Products Trading cannot be held liable for degradation due to improper storage by the client.

Under no circumstances can Caraga World Food Products Trading be required by the client to appear as a third party in the context of any claim for damages or liability filed against the client by an end consumer or retail customer.

6. Claims and Returns

Because we handle perishable food products, any claims regarding product quality, short-shipments, or damaged packaging must be reported immediately. To be admissible, Caraga World Food Products Trading must be notified of any claim in writing (via registered mail or verified email to our official commercial address) within forty-eight (48) hours of delivery. Claims made after this window will not be accepted for return, credit, or replacement.

7. Governing Law and Jurisdiction

All contractual relations, transactions, and disputes arising from sales will be governed exclusively by the laws of the Republic of the Philippines. Any legal actions arising from these terms shall be filed in the proper courts of the region where the registered office of Caraga World Food Products Trading is located, to the exclusion of all other venues.
